TERMS OF SERVICE & WEBSITE HOSTING AGREEMENT 

Effective Date:  08/18/2026 

Welcome to SITE LAUNCH LOCAL, LLC (“Agency”). By checking the box at checkout, submitting your payment, or utilizing our services, you (“Client”) agree to be legally bound by the following Terms of Service. 

1. THE AUTOMATED PROCESS & CLIENT RESPONSIBILITIES 

  • No-Contact Model: Client acknowledges that services are delivered via an automated onboarding system. 
  • Content Submission: Upon payment and consult, Client will be redirected to a Content Submission Form. Client must provide all requested text, logos, business information, and images. 
  • Delays: Agency cannot begin building the website until a completed submission is received. Agency is not liable for project delays caused by the Client’s failure to provide materials. 
  • Authorized Representative: The Client represents and warrants that all text, graphics, photos, designs, trademarks, or other artwork provided to the Agency for inclusion in the website are owned by the Client, or that the Client has received permission from the rightful owner to use these elements. 
  • Client Content Representations and Indemnification:  The Client agrees to indemnify, defend, and hold harmless the Agency, its owners, and employees from any and all claims, demands, losses, causes of action, damage, lawsuits, judgements, including attorney fees, arising out of or relating to the breach of this warranty or any copyright infringement claims regarding materials provided by the Client. 

2. WEB DESIGN SCOPE OF WORK 

  • Design Fee: The one-time design fee of $799 covers the creation of a standard business website with a maximum of 2 pages using standard templates and structures. 
  • Scope Creep: Any additional pages, advanced features, custom coding, or significant structural changes requested outside the standard onboarding form will be billed separately at an hourly rate of $120 per hour. 
  • Revisions: The $799 flat fee includes a maximum of 2 rounds of minor text or image revisions within 14 days of website delivery. Extensive redesigns are not included. 
  • Use of AI-Generated Placeholder Content: The Agency may provide AI-generated images to assist with website layouts and design gaps.  The Client acknowledges that these images are generated via third-party artificial intelligence tools (Adobe Firefly) and are provided on an “as-is” basis.  The Agency maes no warranties regaring the uniqueness, copyrightability, or trademark status of these images.  The Client assumes all liability for the continued use or publication of AI-generated assets. 

3. GOOGLE PROFILE SETUP DISCLOSURE 

  • One-Time Setup: The initial $799 design fee includes the basic creation and optimization of a Google Business Profile. This includes entering basic business hours, contact info, uploading client-provided photos, setting up the maps location pin, and enabling reviews. 
  • Limited Scope: Client acknowledges that Agency does not create ongoing social posts, write blog updates, upload weekly photos, or do ongoing search engine optimization (SEO) under the standard setup fee. 

4. SPECIFIC HOSTING PACKAGE TIERS & SCOPE 

  • $49/Month Plan (Launch): Includes standard web hosting and server maintenance. Includes 1 domain name (up to a $11 value per 1 year), and 1 business email address provided by Hostinger webmail. 

5. MONTHLY HOSTING & DOMAIN TERMS 

  • Website Build Billing: If a Client purchases a Website Build ($799), the monthly hosting fee will not be charged until the website is fully launched and Live. However, if the Client fails to submit their complete content within 30 calendar days of purchase, automated monthly hosting billing will begin immediately to cover ongoing server preservation, communication, and draft maintenance. 
  • Included Domain: If selected, one standard domain name (up to a $11 value per 1 year) is included in the monthly hosting price. Premium, specialty, or highly expensive domains require additional Client payment. 
  • Domain Ownership and Transferability: The domain remains registered through the Agency for operational purposes. If Client wishes to cancel hosting and transfer the domain away, they must pay a flat $89 domain transfer/release fee. 

6. AUTO PAY, LATE PAYMENTS & SERVICE SUSPENSION 

  • Recurring Payments: The recurring monthly subscription payments will be automatically charged to the Client’s card on file. 
  • Failed Payment: If a hosting payment fails and remains unpaid for 7 calendar days, Agency reserves the right to immediately suspend hosting services and take the Client’s website offline without further notice. 
  • Reconnection Fee: To reactivate a suspended website, Client must pay all past-due balances plus a flat $75 reactivation fee. Agency is not responsible for any lost business or data resulting from a non-payment suspension. 

7. LIMITATION OF LIABILITY & SERVER DOWNTIME 

  • Hosting Infrastructure: Agency utilizes third-party secure server infrastructure (Hostinger) to host websites. 
  • No Downtime Guarantee: While we aim for 99.9% uptime, Agency does not guarantee uninterrupted service. Client agrees that Agency is not liable for any financial losses, lost sales, missed leads, or data corruption caused by server downtime, technical glitches, or cyber-attacks. 
  • Maximum Liability: Under no circumstances shall Agency’s total financial liability to the Client exceed the exact amount paid by the Client to the Agency during the preceding 30-day period. 

8. CANCELLATION 

  • Client may cancel their monthly hosting plan at any time by sending an email to [email protected] at least 7 days before the next billing cycle. 
  • Upon cancellation, the website files will be deleted from the server, and the Agency is under no obligation to store or back up the Client’s data. 
  • Discretionary Termination and Right to Refuse Service: The Agency reserves the right to terminate this agreement, and to discontinue any web design, development, or hosting services, at any time and for any reason in its sole discretion, including but not limited to uncooperative behavior, hostile or abusive communication, or a breakdown in the professional working relationship. 
  • Notice and Data Migration Window: In the event of a non-emergency termination for convenience by the Agency, we will provide the client with 14 days written notice (via email). During this transition window, the client may request domain transfer assistance to move their assets to a new provider. The Agency is not responsible for migration tasks after cancellation. 
  • Month-to-Month Services and Domains: For month-to-month hosting and service plans, cancellations initiated by either party take effect at the end of the current, already-billed cycle. No partial or pro-rated refunds will be issued for monthly fees, as these ongoing fees incorporate third-party costs and administrative overhead, including non-refundable domain name registration or renewal allocation. If the Agency terminates a monthly agreement due to client abuse or breach of conduct, service may be disabled immediately, and the current month’s fee remains fully earned and non-refundable. 
  • Prepaid Fees: If the Agency or the Client terminates service under this discretionary clause, any unused, prepaid hosting fees after the remainder of the current paid billing cycle will be refunded to the client. 
  • Zero Tolerance for Abuse: The Agency maintains a zero-tolerance policy for harassment, profanity, threats, or abusive conduct directed at our staff or contractors. In instances of severe verbal abuse or harassment, the Agency reserves the right to suspend or terminate services immediately without prior notice, though reasonable accommodation for data retrieval will still be evaluated on a case-by-case basis.
